Terms

  1. Acceptance of Terms

By accessing or using Payvidence (the “Service”), you agree to comply with and be bound by these Terms of Service (“Terms”). If you do not agree, you must immediately discontinue use.

  1. Service Description

Payvidence provides businesses and individuals with:

  • Digital sales and inventory management tools
  • Payment processing integrations with licensed third parties
  • Financial reporting and analytics features

Payvidence is a technology platform and does not act as a financial institution, escrow agent, or tax authority.

  1. User Obligations

When using the Service, you agree to:

  • Be at least 18 years of age and legally able to contract under Nigerian law
  • Provide accurate, current, and verifiable business and personal information
  • Maintain responsibility for all activities conducted under your account
  • Not use the Service for fraudulent, illegal, or unauthorized purposes
  1. Subscription Plans
  • Starter Plan: ₦20,000/year (up to 500 transactions per month)
  • Pro Plan: ₦54,000/year (unlimited transactions)
  • Plans auto-renew annually unless cancelled with at least 30 days’ notice before renewal.
  1. Payment Processing
  • Transactions processed through third-party providers may attract a 0.75% service fee.
  • All transactions are settled in Nigerian Naira (₦).
  • Payvidence is not responsible for disputes between users and their financial institutions, payment gateways, or customers.
  1. Termination & Suspension

We reserve the right to suspend or terminate accounts in cases of:

  • Non-payment beyond 15 calendar days
  • Fraudulent use or violation of these Terms
  • Use of the Service for activities prohibited under Nigerian law or international best practice
  1. Limitation of Liability

To the maximum extent permitted by law, Payvidence shall not be liable for:

  • Indirect, incidental, or consequential damages
  • Business losses, data loss, or service interruptions
  • Any receipts, invoices, or transaction records issued for stolen goods, fraudulent services, counterfeit items, or illegal activities
  • Any failure by businesses or individuals to apply, charge, or remit VAT or other statutory taxes in accordance with Nigerian or applicable tax laws

Users are solely responsible for ensuring that all transactions conducted through the Service comply with applicable commercial, tax, and regulatory laws.

  1. Compliance with Law

Users agree that Payvidence is not responsible for monitoring, enforcing, or remitting taxes on their behalf. Compliance with the Federal Inland Revenue Service (FIRS), State Internal Revenue Service, and any other applicable authorities remains the sole responsibility of the user.

  1. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute shall be subject to the exclusive jurisdiction of the courts in Abuja, Nigeria.

  1. Entire Agreement

These Terms constitute the entire agreement between you and Payvidence concerning the Service. No oral or implied terms shall override this document.
